Non-Commercial License Agreement

The Spacedout Beats Non-Commercial License

This Non-Commercial License Agreement (the “Agreement”) is made and effective as of {CONTRACT_DATE} (the “Effective Date”) by and between {CUSTOMER_FULLNAME} (the “Licensee”), with an address of {CUSTOMER_ADDRESS}, and Spacedout Beats (the “Licensor”), a [Business Structure] owned and operated by Carlos Cruz, with an address of [Licensor’s Full Address].

1. Definitions

Beat: The musical composition titled “{TRACK_TITLE},” consisting of pre-recorded instrumental tracks, created by the Licensor.

Non-Commercial Use: The use of the Beat for personal, non-profit, educational, or other purposes that do not generate revenue or financial gain.

2. Grant of License

Licensor grants to Licensee a non-exclusive, non-transferable, worldwide, royalty-free license to use the Beat for Non-Commercial Use only, subject to the terms and conditions of this Agreement.

3. Ownership

Beat Ownership: The Licensor retains full ownership of the copyright in the Beat, including all rights, title, and interest.

Restrictions on Use: The Licensee may not use the Beat for any Commercial Use without obtaining a separate license or written permission from the Licensor.

4. Permitted Uses

The Licensee may use the Beat for the following Non-Commercial Uses:

Personal Use: Listening to the Beat for personal enjoyment.

Creative Projects: Using the Beat in non-commercial creative projects, such as school projects, personal videos, or non-monetized social media content.

Demos and Showcases: Using the Beat to create demos or showcases for non-commercial purposes.

5. Prohibited Uses

The Licensee may not:

Commercial Use: Use the Beat in any project that generates revenue or financial gain, including but not limited to songs, albums, videos, films, advertisements, or any other commercial media.

Distribution: Sell, lease, rent, sublicense, or otherwise distribute the Beat, either as it exists or any modification thereof.

Modification: Alter, remix, or otherwise modify the Beat without the Licensor’s prior written consent.
Removal of Voice Tag: Remove or alter the Licensor’s voice tag from the Beat.

6. Credit

The Licensee shall give credit to the Licensor in all uses of the Beat by including the following statement: “Produced by {PRODUCER_ALIAS}.”

7. Termination

This Agreement may be terminated by the Licensor at any time if the Licensee breaches any of the terms of this Agreement. Upon termination, the Licensee shall cease all use of the Beat and delete any copies in their possession.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {STATE_PROVINCE_COUNTRY}.

9. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, with respect to the subject matter hereof.

10. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

By downloading the Beat, the Licensee agrees to be bound by the terms of this Agreement.
